1. Introduction
This document outlines the terms and conditions applicable to participants in the Batoi
Partnership Program, which includes Technology, Innovation, and Digital partnership
categories. By applying and participating in the program, partners agree to abide by
these terms, which govern rights, responsibilities, and benefits within the partnership.
These Terms of Service must be read in conjunction with Batoi’s Master Terms of Service and Privacy Policy, both of which are binding on all partners.
2. Definitions
- Partner: The entity applying for and participating in the Batoi Partnership
Program.
- Batoi: Refers to Batoi Systems, which operates through various legal entities
including Batoi Systems Pvt Ltd (India), Batoi Systems Inc. (USA), and Batoi
Systems Ltd (UK). Additional entities may be established in other jurisdictions in
the future.
- Program Categories: Technology, Innovation, and Digital.
- Program Tiers: Silver, Gold, and Platinum levels based on partner commitment
and benefits.
- Co-Marketing Activities: Joint marketing efforts conducted between Batoi and the
partner.
- Revenue Sharing: The financial model outlining the revenue distribution between
Batoi and the partner.
3. Eligibility and Application
To participate in the program, partners must:
- Submit a valid application with accurate business details.
- Choose the appropriate partnership category and tier.
- Meet the necessary requirements for the chosen category (Technology, Innovation, or Digital).
- Complete the initial review process and agree on partnership terms.
4. Partnership Obligations
All partners must:
- Promote the partnership and collaborate in good faith to achieve mutual
objectives.
- Adhere to Batoi's brand guidelines and represent the partnership accurately.
- Comply with Batoi’s Master Terms of Service and Privacy Policy and all
applicable laws and regulations.
5. Partnership Benefits
Depending on the partnership tier and category, partners are entitled to the following:
- Technology Partnership: API access, technical enablement, co-selling, and joint
product development.
- Innovation Partnership: Access to Batoi Lab, mentorship, R&D collaboration, and
project grants.
- Digital Partnership: Marketplace access, content publishing tools,
revenue-sharing, and marketing support.
The specific benefits will vary based on the tier (Silver, Gold, Platinum), with higher tiers
receiving enhanced support and financial incentives
6. Revenue Sharing
Partners are eligible for revenue-sharing based on the following terms:
- Silver Tier: Standard revenue-sharing rates apply.
- Gold Tier: Enhanced rates with milestone-based bonuses.
- Platinum Tier: Highest revenue-sharing rates with potential for exclusive bonuses.
Revenue-sharing percentages and details will be outlined in the individual partnership agreements.
7. Term and Termination
- The partnership is valid for an initial term of one year from the date of the
agreement and will automatically renew unless terminated by either party.
- Either party may terminate the partnership with 30 days written notice.
- Breach of these terms, or any applicable Master Terms of Service or Privacy
Policy, may result in immediate termination without notice, at Batoi’s discretion.
8. Confidentiality
Both Batoi and the partner agree to maintain the confidentiality of proprietary information
shared as part of the partnership unless otherwise agreed in writing.
9. Intellectual Property
- All intellectual property, including but not limited to technology, products, and
materials developed by Batoi, remains the sole property of Batoi unless explicitly
agreed otherwise in writing.
- Partners may use Batoi's IP only as permitted by the program guidelines and must
cease any usage upon termination of the partnership.
10. Limitation of Liability
Batoi’s liability under this partnership is limited to the revenue-sharing and benefits
outlined in the agreement. Batoi is not liable for any indirect, consequential, or punitive
damages resulting from participation in the partnership program.
11. Governing Law and Jurisdiction
These terms are governed by the laws of the country where the Batoi office to which the
partner is signed is located. Batoi operates through its various entities: Batoi Systems Pvt
Ltd (India), Batoi Systems Inc. (USA), Batoi Systems Ltd (UK), and any other future entities.
Any disputes arising out of or related to these terms will be resolved under the exclusive
jurisdiction of the courts in that country.
12. Amendments
Batoi reserves the right to amend these Terms of Service at any time. Partners will be
notified of significant changes, and continued participation in the program will constitute
acceptance of the revised terms.
